Terms of Service

These terms are the agreement between you (the merchant installing the app) and Found (the studio that builds and operates it). Installing Faire Sync means you accept them. They are written to be read — if anything here is unclear, ask before you install: brandon@tryfound.io.
1. What Faire Sync is
Faire Sync connects an OpoShop store to a Faire brand account you already hold. It lets you add wholesale terms to your products, publish them to Faire one at a time, keep price and stock in step, import Faire orders into your OpoShop store, and push tracking back to Faire.
It is a tool that acts on your instructions. It does not sell on your behalf, does not decide your pricing, and does not represent you to Faire or to any retailer beyond carrying out the actions you confirm.
2. Independence
Faire is a trademark of Faire Wholesale, Inc. Faire Sync is an independent application that connects to Faire through its public API, and is not endorsed or certified by Faire.
We are also not OpoShop. Faire Sync is distributed through the OpoShop App Store, but it is built and supported by Found. Your relationship with Faire is governed by Faire's own terms; your relationship with OpoShop is governed by OpoShop's.
3. What you need before you can use it
- An active OpoShop store you are authorised to administer.
- Your own Faire brand account. Faire Sync cannot create one, and cannot get you approved by Faire.
- The right to sell wholesale everything you choose to list — either because it is your own brand, or because you hold written wholesale or distribution rights to it.
4. Pricing is yours — this is the important one
Faire sells at wholesale. Your OpoShop storefront sells at retail. Those are different numbers, and Faire Sync will never turn one into the other.
You type every wholesale price and every suggested retail price yourself. The app does not calculate them, does not default them, does not apply a markup or a discount, and does not adjust them later. Where it shows the industry's rough "about half of retail" norm, it is showing you information, not applying arithmetic.
Faire Sync will refuse to publish a product whose numbers do not work — a wholesale price at or above your suggested retail, a wholesale price above what you charge your own shoppers, a price below the unit cost you gave us, or a take-home of zero or less after the commission rate you entered. Those refusals are a safety net, not an audit. They cannot tell you whether a price is right for your business, and passing them is not our endorsement of your margins. The prices you set, and the consequences of setting them, are yours.
5. What listing on Faire means
Publishing is deliberate: it takes one product and an explicit confirmation, and there is no bulk publish anywhere in the app. That is because a live listing is a real offer. Once a product is published, a retailer can order it at the terms you set, and you are expected to honour that order.
You are responsible for what you list, what you claim about it, whether you are entitled to sell it wholesale, whether you can meet the lead times and minimums you entered, and for complying with Faire's own policies and with the law where you and your buyers are. Faire Sync asks you to declare whose brand each product is and records your answer, but it cannot verify it, and the declaration is yours.
6. Fees
Faire Sync is free to install and free to use. Found is not paid by you.
Whatever Faire charges you as a seller is a matter between you and Faire. Faire Sync does not set it, collect it, take a share of it, or estimate it. It uses the commission rate you enter so it can show you your take-home, and it reads back the commission and payout figures Faire reports on your own orders. If the rate you entered is wrong, the figures it shows will be wrong — check them against your Faire account.
7. Money never moves through this app
Retailers pay Faire. Faire pays you. Faire Sync never handles funds, never sees card or bank details, and never processes a payment or a refund. It has no ability to charge anyone, and no ability to move money in either direction.
8. Availability, and the platforms we depend on
Faire Sync depends on OpoShop's API and on Faire's API, and neither is under our control. Either can change, rate-limit, deprecate, break or refuse a request without notice. We aim to keep the app working and to fix what breaks, but the service is provided as is and as available, with no guarantee of uptime, of a particular sync interval, or of continued compatibility.
We are not responsible for anything Faire or OpoShop does on their own platforms, including listing removals, account restrictions, changes to the fees they charge you, order cancellations, or payout decisions.
9. Acceptable use
- Use Faire Sync only with stores and Faire accounts you are authorised to operate.
- Do not attempt to bypass the safeguards — the publish confirmation, the wholesale-terms gate, the loss guards or the write switch. They exist because the mistakes they prevent are expensive and silent.
- Do not use the app to list products you do not have the right to sell wholesale.
- Do not attempt to access another merchant's data, probe the service for vulnerabilities without telling us, or interfere with its operation.

10. Your data
What Faire Sync stores, what it sends to Faire, how long it is kept and how to have it deleted are all set out in the privacy policy, which forms part of these terms.
11. Intellectual property
Your catalogue, your product content, your brand and your wholesale terms remain entirely yours. Faire Sync claims no ownership over any of it and no licence beyond what is needed to run the service you asked for.
The Faire Sync application, its interface and its source remain the property of Found.
12. Limitation of liability
To the fullest extent permitted by law, Found is not liable for indirect, incidental, special or consequential loss, including lost profits, lost sales, lost data, or losses arising from prices you set, listings you published, orders you could not fulfil, or action taken against you by Faire or OpoShop.
Because Faire Sync is provided free of charge, our total aggregate liability to you for any claim relating to it is limited to one hundred US dollars (USD 100).
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, in which case those exclusions do not apply to you.
13. Ending it
You can uninstall Faire Sync from your OpoShop admin at any time, and you can disconnect your Faire account from inside the app at any time. Either action stops all syncing and all writes to Faire immediately. Listings already published stay live on Faire until you change them there, and orders already imported stay in your OpoShop store.
We may suspend or end access if the app is used in breach of these terms, or if we discontinue the service. If we discontinue it, we will give reasonable notice inside the app where we can.
14. Changes to these terms
If these terms change materially we will update the date at the top of this page and notify merchants inside the app where the change affects how the app behaves. Continuing to use Faire Sync after a change means the updated terms apply.
15. Governing law
These terms are governed by the laws of the State of Texas, USA, without regard to conflict of law rules, and the courts of that state have exclusive jurisdiction over any dispute — except where consumer protection law in your own country gives you the right to bring a claim locally.
